The role of CleanSpark's General Counsel encompasses the strategic management of our company's legal operations. This includes overseeing project collaboration with external legal partners, handling contract matters, ensuring SEC filings and compliance, and effectively navigating legal disputes. The General Counsel assumes a pivotal position, managing an extensive spectrum of daily legal functions, providing crucial support to the executive team in achieving our overarching objectives.
- SEC Compliance
- Provide counsel to ensure compliance with all security and governance obligations, including advising on filings with the Securities and Exchange Commission, including Forms 10-K and 10-Q, current reports on Form 8-K, proxy statements, Rule 144 filings, Section 16 filings and ensure compliance with NASDAQ regulations.
- Assist the Executive team in reviewing disclosures and processes to ensure compliance with the CleanSpark’s disclosure obligations with the SEC and Nasdaq.
- Responsible for overseeing the conduct of the company's material disputes and providing overall dispute coverage.
- General Legal Duties
- Draft and negotiate a full spectrum of contracts for CleanSpark and our operating subsidiaries, including leases, service and supplier agreements, information technology-based contracts (such as systems licensing) and other commercial contracts.
- Advise and counsel as requested all company departments with drafting, reviewing and/or interpreting various commercial agreements as well as associated contracting policies and procedures.
- Hands-on support of key legal projects, including participating in the Company's strategic transactions.
- Oversee and manage outside counsel work product and fees.
- Consult with management on legal matters affecting CleanSpark’s assets, legal requirements, rights and liabilities.
- Responsible for project management and documentation of the diligence process as part of the larger M&A team.
- Manage the Company’s various insurance policies and work with the external broker in identifying & addressing risks through insurance programs.
- Support Board of Directors processes; prepare for, and attend, board meetings, as requested; Liaising directly with Directors if requested.
- Work cooperatively with leaders of other departments on their major initiatives as requested.
- Anticipate and identify legal risks and provide proactive advice and support to C-Suite on assigned legal matters.
- Stay abreast of legal and regulatory changes as they apply to bitcoin.
- Manage legal department processes, budgeting and cost control.
- Advise on public communications, including press releases, crisis communications, and investor communications, as needed.
- Other duties as assigned.
- Juris Doctorate from an ABA approved institution.
- Admission to at least one state bar and in good standing.
- Extensive experience in corporate law
- Experience as a practicing lawyer, preferably initially with a prominent national law firm before moving to an in-house position.
- Practical legal experience with an in-house legal department in a public company in a senior role.
- Knowledge and expertise with laws and regulations applicable to securities, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Demonstrated experience advising public company executives regarding governance and securities issues.
- Exemplary written and oral communication skills, with the ability to succinctly translate legal principles into practical and actionable business use.
- Sound judgment: ability to make clearly reasoned decisions and recommendations, especially as they relate to our business.
- Demonstrate grit; internalize our values of transparency and trust.
- Experience forging relationships and engaging with leaders and key stakeholders across large-scale companies.
- Experience drafting and reviewing transactional documents, especially vendor, services, procurement and other business-to-business agreements.
- Excellent interpersonal skills with an ability to provide sound, clear legal advice to internal teams.
- Proven experience managing simultaneous projects in an efficient and timely manner with minimum supervision.
- Highly collaborative, with the flexibility to take on stretch assignments and the humility to thoughtfully execute less glamorous assignments.
- Interest in Bitcoin and how it can make the world a better place required.
$175,000 - $225,000 a year
